TERMS AND CONDITIONS

Upon acceptance of this application by The Healing and Teaching Haven (hereinafter called "The Company") the undersigned applicant (hereinafter called the Distributor") agrees:

A. GENERAL TERMS AND CONDITIONS
1.  The Distributor is a limited agent of the Company whose sole authority is to obtain and assist in fulfilling orders for the Company's Distant Learning Course in Spiritual Counselling on behalf of the Company and obtaining applications for appointment of further limited agents.  The Distributor has no further authority to represent or bind the Company.  The Distributor shall not make any statement, claims or representations about the Company or it Spiritual Counselling Course that are false. misleading or not authorised by the Company in writing or otherwise.

2.  The Distributor acknowledges that he/she is not an employee of the company, but an independent agent who will operate his/her own business using his own  equipment.  The Distributor shall bear all costs and expenses incurred in the business.  The Distributor is free to choose their own territory.  The Distributor is not excluded from engaging in any other work whether part time or full time, and whether a contract for service or a contract of service.

3.  The Distributor shall operate their business in a lawful, ethical and moral manner so as not to affect the Company or any of its other Distributors adversely. The Distributor shall not use SPAM under any circumstances to promote a sale .  The Distributor shall keep their own business records, arrange all necessary insurance and workers compensation insurance and maintain appropriate taxation procedures.

4.  The Distributor shall arrange the placing of orders from retail customers with the Company.  The Distributors understands that no investment is necessary to become a Distributor.  The Distributor also understands that they are not required to maintain any stock for supply to retail customers.

5. The Company in so far as is reasonably possible, shall deliver the Course ordered, to the customers, which must be paid for in advance.

6. The Company shall pay the Distributor commission of $100 AUD per sale only when payment of the sale by the retail customer has been paid and been accepted,

7. The Distributor acknowledges the Course in Spiritual Counselling is the property of Helga Davis and the Healing and Teaching Haven so therefore even after the termination of this agreement the Distributor shall hold in confidence the Company's confidential information and all contents of the Distant Learning Course in Spiritual Counselling.  Business literature acquired during the term of this Agreement and will not use directly or indirectly such items.

8.  A Distributor will indemnify and keep the Company indemnified against all actions, proceedings, criminal penalties, liabilities, claims, damages, costs and expenses arising out of or in any way relating to the Distributor's activities.

B  TERMINATION OF THIS AGREEMENT
1. Either party may terminate this agreement at any time through electronic mail or in writing.

2.  On Termination of this Agreement the Distributor shall cease to be entitled to receive any further sums from the Company and shall discharge all liabilities to the Company in connection with this Agreement and through :
(a)  any liability relating to contracts (whether lawful or otherwise) made by the Distributor
(b)  any liability relating to statements made by the Distributor (whether authorised or unauthorised)
(c)  any money's taken from a retail customer and not given to the Company.

C  GENERAL
1.  This Distributor Agreement shall constitute the whole Agreement between the Company and the Distributor and no alteration hereto shall be valid unless made in writing or by electronic mail and agreed to in writing.

2.  If any provision of this Agreement is found to be unenforceable or invalid the validity of the remaining provisions shall not be affected.

3.  Any breach of and term in the Distributor Agreement shall give the Company the right to terminate this Agreement immediately.

I AGREE TO THE TERMS AND CONDITIONS SET DOWN AS ABOVE.  ENTERING INTO THIS AGREEMENT WITH THE HEALING AND TEACHING HAVEN WILL NOT CONSTITUTE A BREACH OF ANY AGREEMENT OR ARRANGEMENT THAT I MAY HAVE WITH A THIRD PARTY.
